Job Description

A highly regarded organization is seeking a Corporate Paralegal with at least 2+ years of corporate transactional experience who can hit the ground running. This Corporate Paralegal role offers exposure to sophisticated corporate matters, including entity formations, mergers, acquisitions, financing transactions, governance, compliance, and due diligence. The ideal Corporate Paralegal will possess a bachelor's degree, strong formations experience, and the ability to independently manage corporate records and transactional support in a fast-paced environment. This is an excellent opportunity for a detail-oriented Corporate Paralegal looking to work on complex corporate transactions while partnering closely with attorneys and business stakeholders.   • 2+ years of corporate transactional experience as a Corporate Paralegal required.
  • Strong experience with entity formations, foreign qualifications, name changes, conversions, mergers, acquisitions, and dissolutions.
  • Draft and maintain board and stockholder actions, minutes, corporate records, annual reports, and governance documents.
  • Support transactional closings, including signature pages, closing checklists, closing binders, and post-closing matters.
  • Manage stock issuances, transfers, capitalization tables (Carta), UCC filings, audit responses, and corporate compliance activities.
  • Working knowledge of Delaware and California corporate laws, securities regulations, Blue Sky research, and due diligence reviews preferred.
  • Bachelor's degree required; strong legal research, Microsoft Office, organizational, and communication skills essential.
